Any company created in Luxembourg requires a physical head office in the Grand Duchy of Luxembourg.

It is important that this office be real, in order to be considered as a permanent establishment in the country. It is a common error to believe that it is enough to start a company in another country to benefit from the tax advantages of that country.

In order to actively fight against the creation of “mailbox” companies, Luxembourg has made modifications concerning the establishment of businesses in Luxembourg. This particularly affects those companies intending to pursue a commercial activity that must obtain an authorisation of establishment.

The Act of 2 September 2011 concerning the right of establishment very clearly specifies the nature of the premises to be made available to the company in these terms:

Art. 5. The company must have a place of permanent operation in the Grand Duchy of Luxembourg, which means: 

  • the existence of appropriate physical facilities, adapted to the nature and the dimension of the activities pursued;
  • the existence of an infrastructure comprising administrative facilities as well as the equipment and technical installations necessary for the exercise of the activities pursued;
  • real and permanent exercise of the management of the activities;
  • the regular presence of the manager;
  • the obligation to maintain all documents relating to the activities, all accounting documents and documents relating to the management of the staff on site.

Domiciliation within the meaning of the amended Act of 31 May 1999 governing the domiciliation of companies does not constitute an establishment within the meaning of this Article.
